1. Scope of Application
These General Terms and Conditions (hereinafter “GTC”) of RETERNITY GmbH (hereinafter “Seller”) apply to all contracts for the delivery of goods concluded between the Seller and a consumer or entrepreneur (hereinafter “Customer”) via the Seller’s online shop.
Deviating terms and conditions of the Customer shall not apply unless expressly agreed otherwise.
A consumer within the meaning of these GTC is any natural person who concludes a legal transaction for purposes that predominantly cannot be attributed to their commercial or independent professional activity.
An entrepreneur within the meaning of these GTC is a natural or legal person or a legal partnership acting in the exercise of its commercial or independent professional activity.
2. Conclusion of Contract
The product descriptions in the online shop do not constitute binding offers but serve as an invitation for the Customer to submit a binding offer.
The Customer submits a binding offer by completing the electronic ordering process and clicking the order button.
The Seller may accept the offer within five (5) days by sending an order confirmation in text form (e.g., email), delivering the goods, or requesting payment after the order has been placed. The contract is concluded when one of these alternatives occurs first.
If PayPal Express is selected, the contract is concluded at the time the Customer triggers the payment transaction.
The contract text is stored by the Seller and sent to the Customer after the order. If a customer account exists, the order data can be accessed there.
The contract may be concluded in German or English.
3. Right of Withdrawal
Consumers have a statutory right of withdrawal. Further information can be found in the separate withdrawal policy.
3.2 Consequences of Withdrawal in Case of Promotional Offers and Free Items
If the Customer benefits from a promotional offer linked to specific purchase conditions (e.g., “Buy X – Get Y”, bundle promotions, minimum order value promotions, or free promotional items such as free socks or free shirts), the following applies:
If, due to a full or partial return, the conditions for the promotional offer are no longer met, the Seller reserves the right to subsequently adjust the granted discount.
In the case of free promotional items granted subject to minimum purchase requirements, the free item must also be returned in the event of a full withdrawal.
If the free promotional item is not returned, the Seller reserves the right to charge the regular sales price of the promotional item and to offset this amount against the refund claim.
The Customer is entitled to prove that no loss or a significantly lower loss has occurred.
4. Prices and Payment Conditions
All prices stated are total prices including statutory VAT. Shipping costs are displayed separately.
Deliveries outside the European Union may incur additional costs (e.g., customs duties, taxes, bank fees) which are borne by the Customer.
Payment methods are displayed during checkout.
If advance payment by bank transfer is agreed, payment is due immediately upon conclusion of the contract.
4.5 PayPal
Payments via PayPal are processed by PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg. PayPal’s terms and conditions apply.
4.6 Klarna
Payments via Klarna are processed by Klarna Bank AB (publ), Sveavägen 46, 111 34 Stockholm, Sweden. Available Klarna payment methods are displayed during checkout. Klarna’s terms and privacy policy apply.
5. Delivery and Shipping Conditions
Delivery is made to the delivery address provided by the Customer.
If delivery fails for reasons attributable to the Customer, the Customer bears the resulting additional costs, unless they effectively exercise their right of withdrawal.
Self-collection is not possible.
Delivery times are indicated in the respective product description.
6. Retention of Title
The goods remain the property of the Seller until full payment has been received.
7. Warranty
Statutory warranty rights apply.
Customers are requested to report obvious transport damage to the carrier and inform the Seller. Failure to do so does not affect statutory warranty rights.
8. Applicable Law
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
For consumers, this choice of law applies only insofar as mandatory consumer protection provisions of the country of habitual residence are not excluded.
9. Place of Jurisdiction
If the Customer is a merchant, legal entity under public law, or special fund under public law with registered office in Germany, the exclusive place of jurisdiction is the Seller’s registered office.
If the Customer is established outside Germany and acts in a commercial capacity, the Seller’s registered office shall also be the exclusive place of jurisdiction.
The Seller remains entitled to bring legal action at the Customer’s general place of jurisdiction.
10. Online Dispute Resolution
The European Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr
The Seller is neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
